Pennsylvania new corporation publication

Pennsylvania Corporation Publication Requirement

Pennsylvania requires new corporations to publish notice of the filing, or the intent to file, Articles of Incorporation in two newspapers of general circulation, including the county legal journal where one exists. We prepare the notice, coordinate the newspapers, and obtain proof of publication.

What Pennsylvania corporations must publish

When a new Pennsylvania business corporation files Articles of Incorporation, the corporation must publish either its intent to file or the actual filing. The notice must be placed in two newspapers of general circulation in the county where the registered office is located, or will be located for a proposed corporation. One of the newspapers should be the legal journal or legal newspaper designated for the county, if one exists.

The advertisement must contain the name of the proposed corporation and a statement that the corporation is to be or has been incorporated under the Business Corporation Law of 1988. The notice may appear before or after the Articles are filed with the Pennsylvania Department of State. If there is only one newspaper of general circulation published in the county, publication in that newspaper is sufficient.

Proof of publication is not filed with the Department of State. It should be retained with the corporation’s permanent records. M. BURR KEIM COMPANY prepares the notice, identifies the proper publications, places the advertisement, and provides the proof or affidavit to the corporation or its counsel.

How we handle Pennsylvania corporation publication

  1. Review the Articles of Incorporation and confirm the county and registered office information.
  2. Identify the newspaper of general circulation and the county legal journal or legal newspaper, if any.
  3. Prepare the required notice with the corporate name and Business Corporation Law statement.
  4. Coordinate publication before or after the state filing, based on the timing that works for the incorporation.
  5. Obtain proof of publication and provide copies for the corporation’s permanent records.

Publication timing and records

Before or after filing

The notice may be published before the Articles are filed or after the filing. We coordinate the timing with the incorporation.

Proof for your records

The state does not require the proof to be filed with the Department of State, but the corporation should keep it permanently. We provide the proof after the advertisement runs.

Is this required for Pennsylvania LLCs and other entities?

This page addresses the publication requirement for new Pennsylvania business corporations filing Articles of Incorporation. Standard LLC formations are generally not subject to the same corporation newspaper advertising requirement. Nonprofit corporations, foreign corporations, and other entity types can have different rules. If you are forming an LLC, registering a foreign entity, forming a nonprofit, or filing a fictitious name that includes an individual owner, review the applicable page or contact our office so we can confirm whether publication is required.
